Hong Kong Corporate Search & Commercial Due Diligence Service Agreement

This Hong Kong Corporate Search & Commercial Due Diligence Service Agreement (the "Agreement") is entered into by and between HC BUSINESS LIMITED (BRN: 66820292, licensed Trust or Company Service Provider TCSP License No.: TC006431, registered office at Unit 801, 8/F, Chevalier House, 45-51 Chatham Road South, Tsim Sha Tsui, Kowloon, Hong Kong, hereinafter referred to as "HC Business" or "the Platform") and any natural person, corporate entity, or authorized legal representative ordering Hong Kong corporate or individual directorship search services on 86hc.com (hereinafter referred to as "User" or "You").

By checking the statutory agreement box and submitting a search order on 86hc.com, You acknowledge that You have carefully read, fully understood, and unconditionally agreed to be legally bound by all terms, statutory purpose declarations, service SLA, and privacy boundaries contained herein.

86hc.com provides independent, professional commercial search, document retrieval, and due diligence reporting services. All search data is derived directly from official public registers maintained by the Hong Kong Companies Registry (CR) under the Companies Ordinance (Cap. 622) and the Business Registration Office (BRO) of the Inland Revenue Department (Cap. 310):

• Corporate Entity Search (Shareholder & Director Register): Official retrieval and analysis of statutory filings, including Annual Returns (Form NAR1), Incorporation Forms (Form NNC1/NNC1G), Notices of Change of Company Secretary and Director (Form ND2A/ND2B), and Returns of Allotments (Form NSC1). The report reconstructs authorized/issued share capital, full shareholder registers, equity allocation percentages (%), and the historical equity change timeline.
• Natural Person Directorship Search: Cross-referencing an individual's legal name and statutory identity credentials to identify all active Hong Kong corporations where this individual currently serves as an in-office director, corporate registration numbers, and appointment effective dates.
• Practising CPA Certified True Copy (CTC): Optional statutory certification by an independent Hong Kong practising Certified Public Accountant (HKICPA) who examines the official registry filings, applies physical signatures, official professional seals, anti-counterfeit stamps, and public verification serial numbers for court, banking, or regulatory admissibility.

Under the Companies Ordinance (Cap. 622, Sections 45 to 58) governing the inspection of public registers and the Protection of Protected Information regime, public company registers are established to enable members of the public to ascertain particulars of companies, directors, and shareholders for legitimate commercial intercourse.

The User explicitly declares, warrants, and undertakes that:

1. The search requested is strictly for legitimate commercial contracts, pre-investment due diligence, counterparty credit risk assessment, corporate governance review, legal proceeding subject verification, or statutory compliance audits;
2. The retrieved search data shall NOT be used for unlawful debt collection, doxxing, stalking, blackmail, extortion, unauthorized marketing, defamation, or any illicit activities violating the Laws of Hong Kong;
3. The User accepts full legal and civil liability for any unauthorized data disclosure or misuse resulting from false representations or improper handling of the delivered reports.

In strict compliance with the Personal Data (Privacy) Ordinance (Cap. 486) and the Companies Registry's New Inspection Regime (effective across three phases from 2021 to 2023):

• Statutory Masked Identification: Natural person identification document numbers (e.g. Hong Kong Identity Cards, Passports, or Mainland ID cards) are legally protected personal data. All search reports issued by the Platform strictly display lawful masked identification numbers (partial characters redacted);
• Usual Residential Addresses: Directors' usual residential addresses are protected by law and substituted by registered correspondence addresses or registered office addresses;
• Non-Disclosure Warranty: The Platform strictly refuses any requests to disclose full, unmasked identification numbers or private residential addresses without statutory court orders or specified regulatory exemptions.

When User selects the CPA Certified True Copy (CTC) add-on (+HK$ 300):

• Professional Authentication: Documents are independently verified, signed, and stamped page-by-page by a senior Hong Kong practising Certified Public Accountant regulated by the Accounting and Financial Reporting Council (AFRC);
• Turnaround SLA: CPA physical examination, certification seal application, and official docket compilation strictly require 1 Working Day (excluding Saturdays, Sundays, and Hong Kong public holidays);
• Courier Delivery: The physical original certified copy is dispatched via SF Express courier (freight prepaid by Platform) to the recipient address specified by User. A tracking number is simultaneously provided via email.

Search fees on 86hc.com are structured with complete transparency and automated by system rules:

• 2020+ Standard Corporation Search: HK$ 338 per entity. Covers recent Annual Returns (NAR1), Incorporation Forms (NNC1), shareholder/director registers, and capital breakdowns;
• Pre-2020 Historical Archive Penetration: HK$ 1,288 per entity. Reconstructs multi-year historical archives across decades to trace equity transfers and past directorships;
• Natural Person Directorship Search: HK$ 338 per person. Covers all current in-office directorships in active Hong Kong corporations;
• 🛡️ 24-Hour Fulfillment Guarantee & Unconditional Full Refund: If official filings cannot be provided within 24 hours from payment confirmation due to Companies Registry archive anomalies, complete deregistration/dissolution with lost archives, or Platform technical limits, the Platform guarantees a prompt full refund. This Agreement and all related search services shall be governed by, construed, and enforced in accordance with the Laws of the Hong Kong Special Administrative Region.

Any dispute, controversy, difference, or claim arising out of or relating to this Agreement, including its formation, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time of submission. The seat of arbitration shall be Hong Kong. The proceedings shall be conducted in English or Chinese.
